1. Acceptance of Terms

By accessing and using BridgeSync.health ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service ("Terms") govern your use of our medical EMR synchronization platform and related services provided by BridgeSync Technologies Inc. ("Company", "we", "us", or "our").

2. Description of Service

BridgeSync provides a medical EMR synchronization platform that enables healthcare practices to integrate their Electronic Medical Records (EMR) systems with patient engagement tools. Our services include:

Real-time bidirectional synchronization between EMR systems and patient platforms
Patient appointment booking and management
Digital intake forms and questionnaires
Secure patient messaging
Payment processing integration
Automated appointment reminders and notifications

3. User Accounts and Registration

To access certain features of our Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your password and account
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use of your account

4. Healthcare Compliance and Data Protection

As a healthcare technology provider, we are committed to maintaining the highest standards of data protection and regulatory compliance:

HIPAA Compliance: Our Service is designed to comply with the Health Insurance Portability and Accountability Act (HIPAA) for U.S. healthcare providers
PIPEDA Compliance: We comply with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA)
PHIPA Compliance: Our Service meets Ontario's Personal Health Information Protection Act (PHIPA) requirements
Business Associate Agreement: We will execute a Business Associate Agreement (BAA) with covered entities as required by HIPAA

5. Acceptable Use Policy

You agree not to use the Service to:

Violate any applicable laws, regulations, or third-party rights
Transmit any harmful, threatening, abusive, or defamatory content
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the Service or servers
Use the Service for any purpose other than legitimate healthcare operations
Share login credentials with unauthorized individuals
Reverse engineer, decompile, or attempt to extract source code

6. Service Availability and Support

We strive to maintain high service availability but cannot guarantee uninterrupted access. We provide:

99.9% uptime SLA for Enterprise plans
24/7 technical support for critical issues
Scheduled maintenance windows with advance notice
Disaster recovery and business continuity procedures

7. Payment Terms

Subscription fees are billed monthly or annually in advance. You agree to:

Pay all fees when due
Provide current and accurate billing information
Notify us of any billing disputes within 30 days
Accept responsibility for all taxes and fees

8. Intellectual Property

The Service and its original content, features, and functionality are owned by BridgeSync Technologies Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your healthcare data and patient information. By using our Service, you grant us a limited license to process this data solely for the purpose of providing our services.

9. Limitation of Liability

To the maximum extent permitted by law, BridgeSync Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to the Service shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.

10. Termination

Either party may terminate this agreement at any time with 30 days' written notice. Upon termination:

Your access to the Service will be discontinued
We will provide you with an export of your data in a standard format
We will securely delete your data within 90 days unless legally required to retain it
All payment obligations through the end of the current billing period remain due

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Toronto, Ontario.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
